of Service

The terms that govern every engagement and booking with Modern Navigator LLC. Please read carefully before purchasing a service.

1. About these terms

These Terms of Service (the "Terms") form a binding contract between you ("you", "client", "guest") and Modern Navigator LLC, a Texas limited liability company with registered office at 5900 Balcones Drive, Ste 100, Austin, TX 78731, United States ("Modern Navigator", "we", "us").

The Terms apply to every service sold under the Modern Navigator brand, including consulting engagements delivered under the Modern Navigator Consulting name and retreat bookings delivered under the lisbonretreat.com brand. Both are operated by Modern Navigator LLC.

By purchasing a service, paying a deposit, or signing a statement of work, you accept these Terms.

2. Our services

Modern Navigator offers two categories of service:

Specifics of each engagement — scope, deliverables, dates, venue, group size — are confirmed in writing (a statement of work for consulting, or a written booking confirmation for retreats) before payment is taken.

3. Quotes and written confirmation

Prices shown on our website are starting prices and may be adjusted based on scope, seasonality, group size, or special requirements. A written quote becomes binding only when both of the following are true:

Late payments on consulting invoices accrue simple interest at 1.5% per month on the overdue amount until paid. We reserve the right to pause or terminate an engagement while an invoice is past due.

5. Taxes

Prices are quoted exclusive of any applicable sales taxes, VAT, or withholding taxes, unless explicitly stated otherwise. Where we are required by law to collect tax (for example Portuguese VAT on certain retreat services), we will add it to your invoice. You are responsible for any withholding taxes imposed in your own jurisdiction.

6. Fulfillment, delivery, and returns

Modern Navigator LLC is a services business. We do not sell or ship any physical goods, and no items are posted to the customer. As a result, no shipping rates, shipping timelines, or physical-goods return terms apply to any purchase from us. Specifically:

Because nothing is shipped and there are no physical returns, the conditions under which you may cancel a booking or engagement and receive a refund are governed entirely by our Refund & Cancellation Policy, which forms part of these Terms. A summary of that policy:

Approved refunds are returned to the original payment method in the original billing currency (USD).

7. Payment security

Card and bank details are handled entirely by our payment processors (Stripe, Inc. and Wise Payments Limited), both of which are PCI-DSS compliant Level 1 service providers. Modern Navigator LLC never sees, stores, or transmits full card numbers. We receive only a confirmation of payment and, for reconciliation purposes, the last four digits of the card used and the name on the card. Our website is served exclusively over HTTPS with a valid TLS certificate, and payment forms are hosted by our processors — never on our own domain — so your card details never pass through our servers.

8. Your responsibilities

For consulting engagements, you agree to provide timely access to the people, information, accounts, and systems we need to do the work. Delays caused by the client may push deadlines and, where applicable, adjust fees.

For retreats, you and your guests agree to:

You are responsible for damage caused by you or your guests beyond normal wear and tear. We may ask for a refundable damage deposit, held and returned via the same payment method used to book.

9. Intellectual property

For consulting engagements, unless otherwise agreed in the statement of work:

Website content, branding, and copy on modern-navigator.com and lisbonretreat.com are owned by Modern Navigator LLC and may not be reproduced without permission.

10. Confidentiality

We treat non-public information you share with us as confidential and use it only to deliver the service. The same applies to information we share with you about our methods. Either side may disclose confidential information if required by law.

11. Warranties and disclaimers

We deliver our services with reasonable care and skill. We do not warrant that any particular business outcome will be achieved — AI systems are probabilistic, markets change, and retreat programmes depend in part on you, your guests, and factors outside our control (weather, travel disruption, supplier availability).

Except as expressly stated, our services are provided "as is" to the maximum extent permitted by law. We disclaim implied warranties of merchantability and fitness for a particular purpose.

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including acts of government, natural disaster, pandemic, war, civil unrest, strikes, or failure of third-party infrastructure. If such an event materially affects a retreat, we will work with you in good faith to reschedule or offer credit; see the Refund & Cancellation Policy for specifics.

14. Third-party services and links

Our websites and systems may link to third-party services. We are not responsible for the content or conduct of third parties. Where our consulting work integrates third-party services on your behalf, you are responsible for the underlying terms of those services.

15. Termination

Either party may terminate an engagement for material breach that is not cured within 14 days of written notice. On termination, you pay for work properly performed up to the termination date, and each side returns or destroys confidential information on request.

16. Governing law and disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws principles. The parties first agree to attempt to resolve any dispute in good faith by direct discussion. If that fails, the exclusive venue for any dispute is the state and federal courts located in Travis County, Texas. For consumers resident in the EU, nothing in this clause deprives you of rights you have under the mandatory consumer protection law of your country of residence.

17. Changes to these Terms

We may update these Terms from time to time. The version in force for a particular engagement is the one published on modern-navigator.com at the time you booked or signed the statement of work. Material changes to future engagements will be flagged on the homepage for at least 30 days.

18. Entire agreement

These Terms, together with any written statement of work or booking confirmation you have accepted, the Refund & Cancellation Policy, and the Privacy Policy, form the entire agreement between you and Modern Navigator LLC and supersede any prior oral or written understanding.
